Assignment Description This consultancy services is to provide analytical and advisory services to support efficient private sector participation in the road sector and implement an upstream study on market-oriented and integrated road-side rest and service areas, through two main activities: 1) Take stock of the existing policy, procedures and practices and develop action plans on private sector participation and financing in the road sector of Cambodia; 2) Review of domestic and international practices in development and operation of road-side rest and service areas and implement market surveys. Provide information on the qualifications of key staff. * TERMS OF REFERENCE FOR CONSULTING FIRM Consultant services to support increasing private sector financing in the road sector in Cambodia and implementation of a study on market-oriented integrated road-side rest and service areas A. BACKGROUND 1. Improving transport connectivity, both domestically and with neighboring countries, is one of the main development priorities of the Royal Government of Cambodia to support sustained economic growth and become more competitive in regional markets. Despite improvements of past years, transportation costs remain high in Cambodia. Over the past decade, substantial investments were implemented for modernization of the transport infrastructure, including the main national road corridors, seaports and airport infrastructure, and more recently expanding the focus to improve the secondary and tertiary road network. 2. The Ministry of Public Works and Transport (MPWT) manages national and provincial roads and oversees enforcement of transportation regulations. In terms of transportation services, the Department of Land transport at MPWT is in charge of enforcing rules, while secondary regulation is not sufficiently developed. The Ministry of Rural Development (MRD) is responsible for planning, construction, rehabilitation, and emergency maintenance of all rural roads, while local governments carry out periodic and routine maintenance. 3. As reconstruction of about 2,000 km of the core national road network is expected to be completed by 2022, quality and availability of services to road users remain inadequate. Considering roads are dominant transport mode in Cambodia for both freight and passenger transportation, there is high demand to develop modern roadside rest and service areas, which necessitates improving opportunities for the private sector to invest in and operate such facilities. Contracting private sector for development and operation of rest and service areas is one of the noteworthy options to provide road users with improved roadside rest services and more effectively manage road safety risks associated with driver fatigue. It can also help the government generate sizeable revenues for repayment of its investments, while communities located along the roads can benefit from new employment opportunities. 4. The government has advanced in recent years in improving PPP framework with a vision to have a comprehensive and interlinked system for identifying, selecting, prioritizing, preparing, procuring and implementing PPP projects in accordance with international best practice. Central PPP Unit was established under the Ministry of Economy and Finance (MEF) to serve as secretariat for the inter-ministerial coordination on implementation of PPP policy. With support from the Asian Development Bank, the current Law on Concessions was reviewed. A new Law on PPPs is under preparation. Despite this progress, potential for increased private sector participation in the road sector is yet to be explored both in financing and service delivery. 5. The World Bank with support of the Public - Private Infrastructure Advisory Facility (PPIAF) intends to involve a consulting firm for the analytical and advisory services to support policy dialogue on increasing private sector participation and financing in the transport sector, and implementation of a study on market-oriented integrated road-side rest and service areas. B. OBJECTIVE OF THE ASSIGNMENT 6. The objective of this consultancy services is to provide analytical and advisory services to support efficient private sector participation in the road sector and implement an upstream study on market-oriented and integrated road-side rest and service areas. C. SCOPE OF SERVICES, TASKS, AND EXPECTED DELIVERABLES Task 1. Take stock of the existing policy, procedures and practices and develop action plans on private sector participation and financing in the road sector of Cambodia 7. The Consultant shall start the assignment with review of the existing policies, regulations and practices on private sector participation (PSP) and financing in the road sector to take stock on progress and identify the main gaps and weaknesses. The review should also include the existing regulatory framework of PPP in Cambodia and current practice on private sector participation, including through unsolicited proposals. The Consultant shall also review the international experience and lessons learnt on private sector participation in transport sector and develop action plans for MPWT and relevant agencies to improve mobilization of private investment. Under this task, the Consultant shall: • Conduct a review of the legal/regulatory framework at the national level, including but not limited to the Law on Concession, Public Investment Law, draft Law on PPPs and other national and sub-national regulations, relevant to the implementation of any PPP-type transactions; • Carry out consultations with relevant government institutions, development partners as well as private sector stakeholders to compile and consolidate the existing knowledge related to past studies and analytical works; • Conduct stakeholder consultations and review transaction details to understand the experience with PPP transactions for transport projects in Cambodia such as financing scheme, risk allocation and contractual arrangements. • Assess whether the current legal and regulatory framework has specific positive or negative impacts on gender and if so, how they can be enhanced or addressed; ensure that women stakeholders (i.e. women-led private sector companies and female public stakeholders) participate in consultations. • Assess whether the current legal and regulatory framework has specific provisions/requirements to regulate environmental, social, health and safety related requirements on PPPs/PSP. • Draw lessons learnt from relevant international experience on private sector participation in transport sector, including emerging lessons from Covid19 global outbreak on PPPs. • Identify policy actions and capacity building needs to support enhancing the use of private capital in the transport sector through PPPs and other private financing instruments. • Support MPWT and MEF in development and review of its pipeline of transport PPP projects, and assist in refining the identification and appraisal criteria and procedure for road PPP projects. Task 2. Review of domestic and international practices in development and operation of road-side rest and service areas and implement market surveys 8. This task will focus on upstream analytical work on developing and operation of integrated roadside rest and service areas through private investments. Development such facilities can support provision of a quality services to road users, reduce road safety risks and risks related to road crashes from driving fatigue, provide additional revenue generation potential for the public sector through land lease, taxes and associated surcharges and increase economic activities and creation of jobs for local communities. This can be possible through effective public-private partnerships and innovative mechanisms to encourage efficient and long-term private sector participation.
